The Contracts Manager will be responsible for managing, reviewing, negotiating, and ensuring compliance with all contractual agreements entered into by Omnix and its subsidiaries. This role covers a broad range of contract types, including supply contracts, lease agreements, IT and software agreements (including development and integrations), supply, installation, and commissioning contracts, partnership agreements, vendor representative agreements, resources agreements, consultancy agreements, and other legal commitments.
The Contracts Manager will act as the single point of contact for contract management and will ensure that all contracts are properly stored, maintained, and accessible to authorized stakeholders. The role requires close collaboration with internal teams (legal, procurement, finance, operations, and business units) as well as external stakeholders (clients, vendors, partners, and regulatory bodies).
Responsibilities
Contract Drafting, Review, and Negotiation:
- Draft, review, and negotiate various types of contracts to safeguard the company’s interests.
- Work with internal stakeholders to understand business needs and ensure contracts align with company policies and legal requirements.
- Assess contract risks, liabilities, and obligations to mitigate potential legal and financial exposure.
- Ensure contract terms are clear, enforceable, and comply with applicable laws and regulations.
- Liaise with external legal advisors when necessary for complex contracts.
Contract Management and Administration:
- Maintain a centralized repository for all contracts, ensuring accurate record-keeping and retrieval.
- Oversee the full contract lifecycle, from initiation and execution to renewal or termination.
- Track key contract dates, deliverables, and milestones to ensure compliance and timely action.
- Ensure that all contract amendments, renewals, and terminations are properly documented and approved.
Compliance and Risk Management:
- Ensure that all contracts comply with company policies, legal standards, and industry regulations.
- Identify contractual risks and recommend mitigation strategies.
- Ensure that contractual obligations and deliverables are met by both Omnix and contracting parties.
- Work closely with legal, finance, and operations teams to address any disputes, breaches, or compliance issues.
Stakeholder Collaboration and Support:
- Provide contract-related guidance and training to internal teams.
- Act as the key point of contact for contract-related inquiries, interpretations, and clarifications.
- Support procurement and business units in vendor selection, contract negotiations, and performance evaluations.
- Facilitate smooth contract execution by coordinating with relevant stakeholders.
Safe Custody and Confidentiality:
- Maintain and ensure the confidentiality and security of all contractual documents.
- Ensure only authorized personnel have access to sensitive contractual information
- Implement best practices for document storage, retrieval, and version control.
Qualifications
- Bachelor’s degree in law, Business Administration, Contract Management, or a related field.
- Certified Commercial Contracts Manager (CCCM)
- Certified Professional Contracts Manager (CPCM)
- Other relevant contract management or legal certifications
Minimum Experience/Skills Required:
- Minimum 10 Years of experience in contract management, preferably in industries related to Omnix’s operations.
- Strong understanding of contract law, commercial terms, and risk management.
- Experience handling diverse contracts, including IT/software agreements, vendor agreements, partnerships, and procurement contracts.
- Familiarity with regional and international contract laws and compliance regulations.
- Excellent contract drafting, negotiation, and analytical skills.
- Strong attention to detail and ability to identify contractual risks.
- Ability to work independently and manage multiple contracts simultaneously.
- Strong communication and interpersonal skills for liaising with internal and external stakeholders.
- Proficiency in contract management software and document control systems.
- High level of integrity, confidentiality, and responsibility in managing contractual documents.
